These Terms and Conditions ("Terms") constitute an agreement between you and Debuggex Inc. ("KeyContain", "we", "us", "our") governing your use of the KeyContain dashboard, app, API and proxy (the "Service"). By creating an account you agree to be bound by these Terms. If you do not agree to them, you must not use the Service.
If you use the Service on behalf of an organization, you agree to these Terms on its behalf and represent that you are authorized to do so, and "you" includes that organization.
Our Privacy Policy describes how we handle personal information and forms part of this agreement.
1. Eligibility
1.1 You must be 18 years of age or older to use the Service.
1.2 You must have the legal capacity to enter into this agreement and must not be prohibited from using the Service under any applicable law, including sanctions and export control laws.
1.3 You may not use the Service if a previous account of yours was terminated for breach of these Terms.
2. Your Account
2.1 You are responsible for maintaining the confidentiality of your password, your recovery code, your two-factor authentication methods and the KeyContain keys you create, and for all activity occurring through your account or with your keys, including activity by the software agents you give keys to. You must notify us at support@keycontain.com without undue delay if you believe your account or a key has been used without your authorisation.
2.2 Your password never leaves your browser and your upstream credentials are encrypted before they reach us. We cannot recover your password, and if you lose both your password and your recovery code, we cannot recover your upstream credentials. You will need to enter them again.
2.3 You may review and end your sessions, and revoke or rotate your keys, in the dashboard.
3. How the Service Works
3.1 The Service lets you attach credentials for third-party services ("upstream services") and create KeyContain keys whose permissions you define. Requests made with a KeyContain key are forwarded to the upstream service only where the permissions you configured allow them, and are otherwise refused or held for your confirmation.
3.2 You are responsible for the permissions you configure. The Service applies the permissions you set; it does not decide what is safe for your agents to do. A request the permissions allow is forwarded and is carried out by the upstream service, and many upstream actions cannot be undone. We recommend that you review your permissions, start with the narrowest access your agents need, and use confirmations for actions you want to approve yourself.
3.3 Upstream services are provided by third parties. We do not control them and are not responsible for their availability, their behaviour, changes to their APIs, or what they do with requests forwarded to them. Your use of each upstream service remains subject to your agreement with its provider. You are responsible for ensuring that you are entitled to use the upstream credentials you attach and that your use of the upstream service through KeyContain complies with that provider's terms.
3.4 Upstream services may change their APIs in ways that affect how requests are classified or forwarded. We maintain the Service's support for each upstream service in good faith, and we may add, change or withdraw support for an upstream service. Where we withdraw support for an upstream service you use, we will provide notice where we reasonably can.
4. Charges and Payment
4.1 Each account includes a free allowance. Additional capacity is purchased in capacity units and paid for from a prepaid balance in US dollars, which is charged daily for the units set on your account. Current prices and allowances are shown in the dashboard.
4.2 You add funds to your balance by card, either manually or through automatic top-up if you turn it on. By turning on automatic top-up you authorise us to charge your saved card for the amount you chose whenever your balance falls below the threshold you set, until you turn it off. Card payments are processed by Stripe.
4.3 Where your balance cannot pay a day's charge, your account continues within the free allowance until funds are added. We do not refuse requests for non-payment.
4.4 Prices are exclusive of any taxes that may apply. Where we are required to collect taxes, they will be shown before you pay.
4.5 Funds added to your balance are not refundable, including when you reduce your capacity or delete your account, except where applicable law requires a refund or where we have charged you in error. Balance has no cash value and cannot be transferred.
4.6 We may change prices on at least 30 days' notice. A change does not affect charges already made.
5. Acceptable Use
5.1 You must not:
(a) use the Service, or allow your agents to use it, to access any service, account or data that you are not authorized to access;
(b) use the Service in breach of the terms of any upstream service, or to circumvent an upstream service's rate limits, access controls or security measures;
(c) use the Service to send spam, to carry out fraud, or to distribute malware;
(d) use the Service to attack, scan, probe or overload any system, or to reach private or internal networks;
(e) interfere with, probe or attempt to circumvent the security, permissions, limits or billing of the Service, or access another customer's account, keys, configuration or data;
(f) place a load on the Service that is unreasonable or that degrades it for other customers;
(g) resell or provide the Service to third parties as a standalone product without our written consent, other than letting your own agents and systems use your keys;
(h) reverse engineer the Service except to the extent applicable law permits despite this restriction; or
(i) use the Service for any unlawful purpose or in violation of the rights of any person.
5.2 You must comply with all laws applicable to your use of the Service.
5.3 If you discover a security vulnerability in the Service, please report it to support@keycontain.com. We will not pursue good-faith research that respects other customers' data and does not degrade the Service.
6. Your Content
6.1 You retain ownership of the credentials, configuration, requests and other information you or your agents submit to the Service ("Your Content").
6.2 You grant us a non-exclusive, worldwide, royalty-free licence to host, store, transmit and process Your Content for the purpose of operating and providing the Service to you, including forwarding allowed requests to upstream services, for so long as Your Content remains on the Service. This licence terminates when you remove Your Content or delete your account, subject to the retention described in our Privacy Policy.
6.3 You represent and warrant that you hold all rights necessary to submit Your Content and to have it forwarded to the upstream services you configure.
7. Enforcement
7.1 Where you breach these Terms, we may take one or more of the following measures, proportionate to the seriousness of the breach and to any previous breaches:
(a) a warning;
(b) revocation of a key or suspension of a service you configured;
(c) temporary suspension of your account; or
(d) termination of your account.
7.2 Where a breach threatens the security of the Service, other customers or third parties, we may act immediately. Otherwise, where permitted, we will notify you of the reason and give you a reasonable opportunity to respond.
8. Availability of the Service
We do not warrant that the Service will be available without interruption or free from error. While the Service is unavailable, requests made through it will fail, and you should design your agents and systems with that in mind. We may modify, suspend or discontinue any part of the Service. Where a modification materially reduces the functionality of the Service, we will provide notice. If we discontinue the Service entirely, we will provide at least 30 days' notice and refund any remaining balance.
9. Termination
9.1 You may delete your account at any time from Settings. Deletion takes effect immediately and cannot be reversed: every key stops working, and your services, upstream credentials and other data are deleted as described in our Privacy Policy. Any remaining balance is forfeited in accordance with clause 4.5.
9.2 We may suspend or terminate your account where you breach these Terms, where we are required to do so by law, or where we reasonably consider it necessary to protect the Service, other customers or third parties. Where we terminate your account other than for your breach, we will refund any remaining balance.
9.3 Clauses which by their nature are intended to survive termination — including clauses 4.5, 6.2 in respect of retained content, and clauses 10, 11 and 12 — survive termination of this agreement.
10. Disclaimers and Limitation of Liability
10.1 To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranty, condition or representation of any kind, whether express, implied, statutory or otherwise. We specifically disclaim all implied warranties and conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title and non-infringement, and any warranty or condition arising from a course of dealing or usage of trade.
10.2 Without limiting clause 10.1, we do not warrant that the Service will meet your requirements, that it will be available without interruption or free from error, that defects will be corrected, or that it will refuse every request your permissions are intended to refuse. We are not responsible for the acts of your agents, for actions carried out by an upstream service in response to requests your permissions allowed, or for the availability, behaviour or data of any upstream service.
10.3 To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, use, goodwill or anticipated savings, arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, and whether or not we were advised of the possibility of such loss.
10.4 To the fullest extent permitted by law, our aggregate liability for all claims arising out of or in connection with these Terms or the Service shall not exceed the greater of the amounts you paid us in the 12 months before the event giving rise to the claim and one hundred US dollars (USD $100).
10.5 You acknowledge that the allocation of risk in this clause 10 is a fundamental basis of the bargain between us, and is reflected in the prices of the Service.
10.6 Nothing in these Terms excludes or limits any liability which may not lawfully be excluded or limited. This includes liability for death or personal injury caused by negligence, liability for fraud or fraudulent misrepresentation, and any liability, right or remedy arising under the Consumer Protection Act, 2002 (Ontario) — including the deemed warranty that services supplied are of a reasonably acceptable quality, which may not be waived — or under the mandatory consumer protection law of your country of residence. Where any provision of this clause 10 is held unenforceable in respect of a particular customer or jurisdiction, it applies to the maximum extent permitted and does not affect the remaining provisions.
11. Indemnity
11.1 To the fullest extent permitted by law, you will indemnify and hold harmless Debuggex Inc., its affiliates, and their respective directors, officers and employees from and against any claim, demand, proceeding, loss, liability, damage, cost or expense (including reasonable legal fees) brought by a third party and arising out of or in connection with:
(a) Your Content;
(b) requests made with your keys, including by your agents;
(c) your use of the Service in breach of these Terms or of the terms of any upstream service; or
(d) your breach of any applicable law or of the rights of any person.
11.2 This indemnity does not apply to the extent that the claim arises from our own negligence, wilful misconduct or breach of these Terms.
11.3 We will notify you without undue delay of any claim to which this indemnity relates, and will not settle it without your consent, such consent not to be unreasonably withheld. You may assume conduct of the defence of the claim with our prior written consent, in which case we will provide reasonable cooperation at your expense, and you will not settle the claim on terms imposing any obligation or admission on us without our prior written consent.
11.4 Nothing in this clause 11 limits any right or remedy available to you which may not lawfully be excluded. This indemnity does not apply to the extent it is unenforceable against a consumer under the Consumer Protection Act, 2002 (Ontario) or under the mandatory consumer protection law of your country of residence.
12. Governing Law and Jurisdiction
12.1 These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. The courts of Ontario have jurisdiction in respect of any dispute arising out of or in connection with these Terms, and the parties submit to that jurisdiction.
12.2 Clause 12.1 does not deprive you of the protection of the mandatory law of your country of residence. In particular, a consumer resident in the European Union or the United Kingdom retains the right to bring proceedings before the courts of that country and to the protection of its mandatory consumer protection law.
12.3 Nothing in these Terms requires you to submit a dispute to arbitration or waives your right to participate in a class or representative proceeding.
13. Amendment
We may amend these Terms from time to time. Where an amendment is material, we will provide notice in the dashboard or by email at least 30 days before it takes effect. Continued use of the Service after that date constitutes acceptance of the amended Terms. If you do not accept them, you may delete your account before that date, and we will refund any remaining balance.
14. General
14.1 Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us in respect of the Service and supersede any prior agreement or understanding relating to it. Nothing in this clause limits liability for fraud or fraudulent misrepresentation.
14.2 Severability. If any provision of these Terms is held invalid or unenforceable, it is severed to the minimum extent necessary and the remaining provisions continue in full force.
14.3 No waiver. A failure or delay by either party in exercising any right under these Terms does not constitute a waiver of that right, and no single or partial exercise prevents any further exercise.
14.4 Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign or transfer ours to an affiliate or in connection with a merger, acquisition or sale of assets, provided the assignee is bound by terms no less protective of you, and provided that any transfer of personal information is made in accordance with our Privacy Policy and applicable law.
14.5 No third-party rights. Except as provided in clause 11.1 in respect of the persons indemnified, no person other than you and us has any right to enforce these Terms.
14.6 Force majeure. Neither party is liable for a failure to perform caused by an event beyond its reasonable control, including the failure of an upstream service, other than an obligation to pay.
14.7 Language. These Terms are drawn up in English. Where we provide a translation, the English version prevails to the extent permitted by applicable law.
